1. Definitions

• "Customer" refers to the individual, business, or entity placing an order with the Company.

• "Goods" means any items supplied, sold, or distributed by the Company as part of an order.

2. Quotations and Pricing

• All quotations provided are valid for a period of 30 days unless otherwise stated in writing.

• Prices are subject to change without prior notice due to fluctuations in supplier costs or external market conditions.

• All prices are exclusive of VAT, shipping, and other applicable charges unless explicitly stated.

3. Orders and Acceptance

• Orders are only deemed accepted upon written confirmation from the Company.

• The Company reserves the right to refuse any order without obligation to provide a reason.

• Amendments or cancellations of orders must be agreed upon in writing prior to dispatch.

4. Payment Terms

• Payment terms will be specified on the invoice and must be adhered to in full.

• Late payments will incur interest at the statutory rate from the due date until payment is made.

• The Company reserves the right to withhold or suspend deliveries if payment is overdue.

5. Ownership and Risk

• Ownership of Goods remains with the Company until payment has been received in full.

• Risk in the Goods passes to the Customer at the point of delivery.

• Customers are responsible for the care and protection of the Goods after delivery.

6. Delivery

• Delivery dates are estimates only and are not guaranteed unless explicitly agreed in writing.

• The Company is not responsible for any loss or damage caused by delivery delays.

• If the Customer fails to accept delivery, the Company reserves the right to charge for storage and re-delivery.

7. Returns, Cancellations, and Refunds

• Returns are only accepted with prior written approval from the Company.

• Goods must be returned unused, in their original condition and packaging, within 30 days of receipt.

• The Company may charge a restocking fee for returned Goods.

8. Warranty and Product Guarantees

• The Company warrants that all Goods will be free from material defects for the period specified on the product listing or accompanying documentation.

• This warranty does not cover misuse, wear and tear, or accidental damage.

• The Company's liability is limited to the repair, replacement, or refund of defective Goods.

9. Claims for Loss or Damage

• Any claims for damaged, defective, or missing Goods must be reported to the Company within 48 hours of delivery.

• Claims must be submitted in writing with photographic evidence where possible.

• The Company will investigate claims and provide a resolution, which may include repair, replacement, or refund.

10. Force Majeure

• The Company is not liable for delays or failure to fulfil its obligations due to events outside its reasonable control, including natural disasters, labour strikes, and supply chain disruptions.

11. Data Protection and Privacy

• The Company processes Customer information in accordance with UK data protection laws.

• Personal data is used to process orders, manage accounts, and for marketing (if consent has been given).

12. Intellectual Property

• All intellectual property, including product images, website content, and trademarks, remains the property of the Company.

• Unauthorised use, reproduction, or copying of the Company’s intellectual property is strictly prohibited.

13. Limitation of Liability

• The Company’s liability for any claim is limited to the purchase price of the Goods in question.

• The Company is not liable for indirect, special, or consequential damages, including loss of profit or business interruption.

14. Governing Law and Jurisdiction

• These Terms and Conditions are governed by the laws of England and Wales.

• Any disputes arising from these terms will be subject to the exclusive jurisdiction of the English courts.

15. Amendments to Terms

• The Company reserves the right to amend these Terms and Conditions at any time.

• Changes will be published on the Company’s website, and continued use of the Company’s services constitutes acceptance of the amended terms.
